<div id="frm_field_982_container" class="frm_form_field frm_html_container form-field"><h4><span style="text-decoration: underline;" data-mce-style="text-decoration: underline;">By registering clients at ETC, the ETO agrees to cooperate with the terms and obligations below/attached.</span></h4><h4><br></h4><h4>For the purposes of this contract ETC International College is hereinafter referred to as "the Operator".</h4><h4>Your agency is hereinafter referred to as "the ETO" (Educational Tour Operator).</h4><h4>Together referred to as "the Parties"</h4><h4>Both parties have agreed to this contract. The terms of the contract are shown below.</h4></div><div id="frm_field_985_container" class="frm_form_field frm_html_container form-field"><p><strong>ARTICLE 1. Appointment</strong></p><p>ETC appoints the Agent as a non-exclusive representative for the promotion and recruitment of students to ETC International College.</p><div class="x_elementToProof">The Agent may promote ETC's courses and services using current information, prices and marketing materials supplied by ETC.</div><div class="x_elementToProof">Nothing in this Agreement creates an exclusive relationship between the Parties.</div><p><strong>ARTICLE 2. ETO RESPONSIBILITIES</strong></p><p>The ETO agrees to: -</p><div class="x_elementToProof">• Promote ETC professionally and accurately.</div><div class="x_elementToProof">• Use current ETC marketing materials and course information.</div><div class="x_elementToProof">• Assist students with applications and pre-arrival arrangements.</div><div class="x_elementToProof">• Ensure students understand ETC's Conditions of Enrolment.</div><div class="x_elementToProof">• Comply with all applicable local laws and regulations.</div><div class="x_elementToProof">• Recruit genuine students with a genuine intention to study.</div><div class="x_elementToProof">The Agent must not make any representation, guarantee or promise on behalf of ETC that has not been authorised by ETC in writing.</div><p><strong>ARTICLE 3. ETC RESPONSIBILITIES</strong></p><p>ETC agrees to: -</p><div class="x_elementToProof" data-olk-copy-source="MessageBody">• Process applications promptly.</div><div class="x_elementToProof">• Provide current course information, prices and marketing materials.</div><div class="x_elementToProof">• Deliver courses and services as advertised.</div><div class="x_elementToProof">• Provide appropriate academic, welfare and safeguarding support to students.</div><div class="x_elementToProof">• Comply with all relevant UK regulatory requirements.</div><div class="x_elementToProof">ETC reserves the right to refuse any application or booking at its discretion.</div></div><div id="frm_field_985_container" class="frm_form_field frm_html_container form-field"><p><strong>ARTICLE 4. COMMISSION</strong></p><div class="x_elementToProof" data-olk-copy-source="MessageBody">The Agent shall receive commission on Global English tuition fees at the rate agreed between ETC and the Agent.</div><div class="x_elementToProof"><br data-mce-bogus="1"></div><div class="x_elementToProof">Commission is calculated on tuition fees only and is not payable on accommodation, airport transfers, insurance, examination fees, enrolment fees or any third-party services.</div><div class="x_elementToProof">Commission is payable once:</div><div><br></div><div class="x_elementToProof">• The student has arrived at ETC.</div><div class="x_elementToProof">• ETC has received all fees due.</div><div class="x_elementToProof">• No refund is due to the student.</div><div><br></div><div class="x_elementToProof">Commission rates may be amended by ETC upon written notice to the Agent.</div><div><br></div><div class="x_elementToProof">Group programmes will normally be quoted on a NET price basis. The Agent may apply its own mark-up to the NET price.</div><p><strong>ARTICLE 5. STUDENT OWNERSHIP</strong></p><div class="x_elementToProof" data-olk-copy-source="MessageBody">Where ETC receives enquiries or enrolments for the same student from multiple agents, ETC will recognise the first agent who introduced the student, provided sufficient identifying information has been supplied.</div><div class="x_elementToProof">Any transfer of student ownership between agents must be authorised in writing by all parties.</div><div><br></div><div class="x_elementToProof">Where a student introduced by the Agent subsequently books directly with ETC within 24 months of the original introduction, ETC will continue to recognise the introducing Agent and pay the applicable commission.</div><p><strong>ARTICLE 6. PAYMENT OF FEES</strong></p><div class="x_elementToProof">All fees due to ETC must be paid before the student's arrival unless otherwise agreed in writing.</div><div class="x_elementToProof">ETC reserves the right to refuse, postpone or cancel bookings where fees remain unpaid.</div><div class="x_elementToProof">All payments shall be made in Pounds Sterling (GBP).</div></div><div><div role="presentation" data-olk-copy-source="MessageBody"><br></div><div class="x_elementToProof" role="presentation" data-olk-copy-source="MessageBody"><strong>ARTICLE 7. CONFIDENTIALITY</strong></div><div role="presentation" data-olk-copy-source="MessageBody"><br data-mce-bogus="1"></div><div class="x_elementToProof">Both Parties agree to keep confidential any commercial, financial or operational information obtained through this partnership and not to disclose such information to any third party without prior written consent.</div><div class="x_elementToProof">This obligation survives termination of this Agreement.</div></div><div><div role="presentation" data-olk-copy-source="MessageBody"><br></div><div class="x_elementToProof" role="presentation" data-olk-copy-source="MessageBody">ARTICLE 8. FORCE MAJEURE</div><div class="x_elementToProof">Neither Party shall be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, government action, strikes, transport disruption or other unforeseen events.</div></div><div><div role="presentation" data-olk-copy-source="MessageBody"><br></div><div class="x_elementToProof" role="presentation" data-olk-copy-source="MessageBody"><strong>ARTICLE 9. TERM AND TERMINATION</strong></div><div role="presentation" data-olk-copy-source="MessageBody"><br data-mce-bogus="1"></div><div class="x_elementToProof">This Agreement shall commence on the date of signing and shall remain in force until terminated.</div><div><br></div><div class="x_elementToProof">Either Party may terminate this Agreement by providing 30 days' written notice.</div><div><br></div><div class="x_elementToProof">ETC may terminate this Agreement immediately where the Agent:</div><div class="x_elementToProof">• Provides false or misleading information.</div><div class="x_elementToProof">• Engages in fraudulent activity.</div><div class="x_elementToProof">• Recruits students using misleading practices.</div><div class="x_elementToProof">• Damages the reputation of ETC.</div><div class="x_elementToProof">• Breaches any material term of this Agreement.</div><div><br></div><div class="x_elementToProof">Termination shall not affect any outstanding commission due on students already enrolled and fully paid.</div></div><div><div role="presentation" data-olk-copy-source="MessageBody"><br></div><div class="x_elementToProof" role="presentation" data-olk-copy-source="MessageBody"><strong>ARTICLE 10. GENERAL</strong></div><div role="presentation" data-olk-copy-source="MessageBody"><br data-mce-bogus="1"></div><div class="x_elementToProof">This Agreement constitutes the entire agreement between the Parties and supersedes any previous agreements or understandings.</div><div class="x_elementToProof">Any amendments must be made in writing and agreed by both Parties.</div><div><br></div><div class="x_elementToProof">This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.</div><div><br></div><div class="x_elementToProof">Any disputes shall first be addressed through good-faith negotiation between the Parties before legal proceedings are commenced.</div></div>
